It is really both a verification process and also a forward looking process designed to predict what is likely to happen as a business evolves (and how what might happen will impact dilution and potential return on investment).
Many entrepreneurs are so focused on just getting a potential investor interested that they neglect to prepare for the due diligence process. Proactively preparing for this process is what enables entrepreneurs to positively affect both their ability to secure investment and the valuation and terms to which investors agree.
